Winghaven Residential Owners Association Board of Directors Meeting, Oct. 2011
The Winghaven Residential Owners Association Board of Directors meeting was held on Monday, October 17, 2011 at theMidwestBankBuilding. In attendance were President Tom Shepherd, Directors Gene Stecher, Marcus Rosenberg, Carol Cross, Mike Wilcher, Ray Larson, along with Ingrid Schaeffer and Barbara Murray from CMA. Director Yvonne Wilson was absent.
Executive Session
President Shepherd called the Executive Session portion of the meeting to order at
6:00 PM. All current violations were reviewed and appropriate action taken on each violation. The Board also discussed that status of the current lawsuit of which the WROA has absolutely no liability.
The Executive Session was adjourned at 6:16 PM.
Minutes
The Minutes from the September meeting were reviewed and a motion was made by Director Stecher and seconded by Director Wilcher to approve the Minutes as amended. Motion passed unanimously.
Agenda
President Shepherd presented the proposed Agenda for the meeting and asked if there were any additions or corrections. A motion was made by Director Rosenberg and seconded by Director Cross to approve the Agenda as proposed. Motion passed unanimously.
Treasurer’s Report
Director Larson stated that the attorney that we have been using has been very agressive in collection of past due fees. In the collection of these past due fees, the farthest past due fee will be paid first. Director Larson also stated that the 2012 WROA prepared accounting report will show a line item of past years collection of late fees.
A motion was made by Director Larson to reinvest the $ 30,000 CD that just matured into a new 24 month CD. The motion was seconded by Director Stecher and passed unanimously.
Architectural Report
Director Wilcher stated that he received no new Arch. Requests in the past month. Over the past twelve months he received thirty Requests and only one was not approved.
Grounds Committee
President Shepherd stated that Runyon is on schedule for planting of new trees and removal of the existing dead trees.

Master Association
President Shepherd stated the annual meeting between the WROA and the Master Association will be held sometime in December. The date and place has not yet been determined.
Events Committee
Director Cross presented her report on the Chautauqua Fall Festival which was held on October 1st. While the event was successful Director Cross stated that she has several ideas for improving next year’s event. A discussion took place pertaining to the accounting practices that must be followed to account for the funding of this event. Barbara Murray of CMA will check and inform the Board at next month’s meeting. The Board was to make sure that all proper accounting practices are followed.
Director Cross presented data from Trackers, Inc, the designer of our revised site, showing that the revised site is getting more visits than in the past. Director Cross would like to expand the web site to include advertising from Winghaven Merchants. The web site designer will assist Director Cross in this venture. The Board approved the purchase of Business Cards for Director Cross.
CMA
Ingrid Schaeffer reported that Sixty-Five Intent to file a Lien notices were sent to residents who have not paid their 2011 fees. Of these Sixty-Five, nineteen paid in full, ten are on a payment plan to pay by the end of the year and one is working on paying. Liens will be placed on the remaining thirty-five who did not respond. Next year, these letters will be sent out in June or July.
Ingrid also stated that Directors from Voting Groups 3, 4 and 5 will be up for re-election in January 2012.
Old Business
WP&G Phase III
President Shepherd requested that the discussion on theWinghavenParkand Gardens Phase III be postponed until next month. The Board agreed.
Street Repairs
President Shepherd stated that he will meet with O’Fallon officials to review needed street repairs throughout Winghaven. These repairs are the responsibility of the City.
Pet Droppings
President Shepherd stated that even through the City ofO’Fallonhas an ordinance against pet droppings the City will not provide signs stating that pet droppings are prohibited. In addition, they will not enforce.
New Business
Blackhawk Village Request
Blackhawk Village A has requested that the WROA remove a Variance that was filed in St. Charles County Courthouse that was place on a Blackhawk resident for willful violation of the Winghaven Covenants. Blackhawk Village has changed their rules that what was willfully violated in no longer against their rules.
President Shepherd made a motion that the WROA remove this variance at no cost to BlackhawkVillage or to the resident that violated the rules. Motion failed, 4 to 2.
Director Stecher made a motion that the WROA remove this variance if BlackhawkVillage and/or the resident pay the WROA for any cost associated with the removal. Motion passed 4 to 1 with one abstention.
Event Advertising
In order for WROA Events to be more successful, information pertaining to the Event needs to get to more residents. Director Stecher suggested that Board members look at the electric sign in Cottleville and see if that type of sign would be helpful. This item will be discussed at next month’s meeting.
Budgeted Capital Improvements
Director Larson and Barbara Murray discussed possible changes in new line items for next years Budget. This discussion will continue as we prepare the Budget.
A motion was made by Director Stecher and seconded by Director Wilcher that the meeting be adjourned. Motion passed unanimously. The meeting was adjourned at
8:25 PM.
